W20 General Conditions of Sale


Definitions
‘Seller’ means W20 Ltd
‘Purchaser’ means the person, company or legal entity who purchases the Goods or Services
‘Order’ means the Purchasers official agreement or instruction in writing to the Seller to supply Goods or Services based on these conditions of sale. No variation will apply unless agreed by the seller in writing.
‘Goods’ means the Goods or Services covered by these conditions of sale, and referred to in the attached quotation or contract.

These Conditions alone shall apply to an Order subject only to any variations in writing signed by both the Seller and Purchaser. Any printed or standard conditions appearing on any documents emanating from the Purchaser shall have no legal effect whatsoever. They appear in the documents only because they are printed thereon and the Purchaser waives any rights he might otherwise have to reply on such conditions. No other agreement or understanding in any way modifying or supplementing an Order nor any promises or representations made by representatives of the Purchaser or Seller shall be binding unless confirmed in writing and signed by authorised persons of both parties.

Validity
Prices and deliveries are valid for 30 Days from the date of this quotation.

Duration
The minimum contract period is 12 months, after which time the contract can be cancelled by either party by giving one month’s written notice.

Maintenance
Maintenance and support are provided free of charge for any issues that arise between the Internet Gateway in the Media Centre at Great Leighs and the W20 Ltd supplied Router at the Customers premises. W20 Ltd reserve the right to charge £50 per hour for each hour or part of that a W20 Ltd engineer is required to work on a problem that has occurred beyond the W20 Ltd supplied Router. The minimum charge is one hour.

Prices
Prices quoted herewith are only valid for an order placed for the total type and quantity, including services, and we reserve the right to re quote in the event that the total order quantity is less than, or varies in any way, from the type and quantity detailed within this quotation.

Fair Usage Policy W20 Ltd allows unlimited usage of it's service by it's subscribers. However where W20 Ltd detects the service is being compromised due to excessive demands being placed on it's infrastructure then it reserves the right to indroduce usage limits.

Liability
Except to the extent required by law, W20 Ltd shall not be responsible, and does not accept liability in agreement, tort (including negligence) or otherwise, for any damages, losses, liabilities or claims relating to the manufacture or operation of the equipment and service provided. W20 Ltd will not be liable for any loss or damage caused by us or our employees or agents where 1. There is no breach of a legal duty of care owed to you by us or by any of our employees or agents. 2. Such loss or damage is not a reasonably foreseeable result of any such breach.

Assignment
W20 reserve the right to assign our rights or obligations under this agreement to any company, firm or person(s). The Purchaser shall not pass this agreement to any third party without the express written authority of W20 Ltd.

Reselling
W20 strictly prohibits the reselling and redistribution of its service without the prior written permission of the W20 Managing Director.

Notices
If either party to this agreement gives notice in connection with this agreement, it shall be in writing and sent by recorded delivery to the address specified on the signed contract.

Payment terms
Unless payment is made in advance on an annual basis by cheque or credit card then all customers must complete and return a Direct Debit mandate prior to the service being activated. Once a direct debit has been successfully collected, service will be provided. Should a Direct Debit fail to be collected on successive applications (i.e. two attempts), then the service will be suspended. The service will be enabled once any outstanding monies have been received by credit or debit card. A reconnection fee of £20 will be charged on each occasion service is restarted after disconnection due to non payment.

Software Licences
The Seller will be responsible for all software licences provided unless otherwise stated.

Delivery
Delivery is to customers’ site. In the event that, following prior notification of delivery to the customer, there is no person able to accept the delivery, the delivery cost will then be charged to the customer.

Warranty
All Goods are covered by a 12 month warranty, subject to normal usage. All return costs to the Seller to be the responsibility of the Purchaser

Confidentiality
This agreement is confidential between the parties to this agreement, and may not be disclosed for any reason to any third party without the express written authority of the other party.

Law
This proposal and any subsequent order are subject to English Law and any arbitration will be subject to ruling by courts within the United Kingdom, excluding Scotland.
